Audit Fuel Workpapers is owned and operated by iTickmark LLC (“we” or “us”), which is the sole owner of this Site. Set out below are terms and conditions for use of this Site. You agree to be bound by these terms if you use our Site. Be sure to check this page periodically for updates, as your continued use of the Site signifies your acceptance of any changed items.

Acceptance

This Agreement sets forth the terms and conditions that apply to your access and use of the Web Site. By using the Service, you agree to these terms and conditions. To enter into and accept this terms of use agreement, you must be of legal age. Furthermore, acceptance of this agreement indicates that you are acting in the capacity of auditor or member of an audit team.

Your continued use of this Service after amendments are posted constitutes an acknowledgement and acceptance of this Agreement and its modifications. Except as provided in this document, this Agreement may not be amended. If you do not agree to the terms and conditions of this agreement, you should not use the web site.

Modification

We reserve the right, at any time, to modify, alter or update the terms and conditions of this agreement without prior notice. Modifications will not diminish privacy, security, or the rights of the Web Site users. Additionally, changes shall become effective immediately upon being posted at workpapers.com. Your continued use of this Service after amendments are posted constitutes an acknowledgement and acceptance of this Agreement and its modifications. Except as provided in this paragraph, this Agreement may not be amended.

Refund Policy

We offer a free 30-day trial on new paid accounts. Upgrades from free accounts do not qualify for the free 30-day trial. If you upgrade from a free to a paying account you’ll be charged for your first month when you upgrade. If you cancel your paid account before you are billed 30 days after your original signup then you won’t be charged.

Once you cancel you won’t be charged again, but you are responsible for whatever charges have already been incurred for the current billing period. For example, if your billing cycle is on the 18th of every month, and you cancel on the 24th, you’ll still have to pay for the current month, but you won’t be charged again after that. In order to treat everyone equally, no exceptions will be made.

You can cancel your account at any time by logging into your account and accessing the “Modify Account/Billing Settings” link found on the company home page. Once there, click the “Delete My Account” link.

Registration Information

Users that are registered on the Web Site agree to undertake the responsibility for maintaining the confidentiality of their logon ID and password. By providing us with your e-mail address, you agree to receive all required notices electronically, to that e-mail address. It is your responsibility to update or change that address, as appropriate. If you become aware of any unauthorized use of your registration information, you agree to notify us immediately.

Use of the Service

The auditors’ right to access and use the service is only transferable to other authorized representatives within those respective organizations, and are limited to lawful purposes only. The quality of our service is contingent on the users providing true, accurate, current and complete information. Therefore, you may not misrepresent your Registration Information. In order for the service to function effectively, you must also keep your Registration Information up to date and accurate.

The Service will occasionally be unavailable during system maintenance and upgrades. iTickmark will make commercially reasonable efforts to ensure that the Service will be available. However, iTickmark disclaims all responsibility for any interruptions or problems with the Service caused by external forces affecting the reliability of the Internet or computer systems.

Intellectual Property Rights

The contents of workpapers.com, including its photographs, editorial content, notices, software (including html-based computer programs) and other material are protected under both United States and other applicable copyright, trademark and other laws. The contents of workpapers.com belong or are licensed to iTickmark LLC, or the firms’ software or content suppliers. You are granted the right to view and use the site subject to these terms. Any distribution, reprint or electronic reproduction of any content from workpapers.com in whole or in part for any other purpose is expressly prohibited without our prior written consent.

Access and Interference

You agree that you will not:

Use any robot, spider, scraper, deep link or other similar automated data gathering or extraction tools, program, algorithm or methodology to access, acquire, copy or monitor any portion of workpapers.com;
Use or attempt to use any engine, software, tool, agent, or other device or mechanism (including without limitation browsers, spiders, robots, avatars or intelligent agents) to navigate or search the site other than the search engines and search agents available through the Service and other than generally available third-party web browsers (such as Microsoft Internet Explorer);
Attempt to post or transmit any file which contains viruses, worms, Trojan horses or any other contaminating or destructive features, or that otherwise interfere with the proper working of workpapers.com; or
Attempt to decipher, decompile, disassemble, or reverse-engineer any of the software comprising or in any way making up a part of workpapers.com.

Limitation on Liability

iTickmark shall in no event be responsible or liable to you or to any third party, whether in contract, warranty, tort (including negligence) or otherwise, for any indirect, special, incidental, consequential, exemplary, liquidated or punitive damages, including but not limited to loss of profit, revenue or business, arising in whole or in part from your access to workpapers.com, your use of the service or this agreement. Notwithstanding anything to the contrary in this agreement, iTickmark’s liability to you for any cause whatever and regardless of the form of the action, will at all times be limited to the fees paid to utilize the service.

Indemnification

You agree to indemnify and hold iTickmark and its directors, officers, employees and contractors harmless from any claim or demand, including reasonable attorneys’ fees and costs, made by any third party due to or arising out of your use of the Service, the violation of this Agreement, or infringement by you, or other user of the service user of the Service who is using your computer, of any intellectual property or any other right of any person or entity.

Ending your relationship with iTickmark

This Agreement will continue to apply until terminated by either you or iTickmark as set out below. If you want to terminate your legal agreement, you may do so by closing your account. To close your account, log in to your account, click on the “profile” link, and click the “Delete My Account” button to delete your user account.

iTIckmark may at any time, terminate its legal agreement with you

if you have breached any provision of this Agreement (or have acted in a manner which clearly shows that you do not intend to, or are unable to comply with the provisions of this Agreement);
if iTickmark in its sole discretion believes it is required to do so by law (for example, where the provision of the Service to you is, or becomes, unlawful); or
if iTickmark in its sole discretion believes it is obligated do so by the general prevailing ethical standards provided by the professional accounting industry standards and guidance; or
immediately upon notice, to the e-mail address provided by you as part of your Registration Information.

Dispute Resolution

In the event of any dispute, claim, question, or disagreement arising out of, relating to this agreement or the breach thereof, the parties hereto shall use their best effort to settle such disputes, claims, questions, or disagreement. To this effect, they shall consult and negotiate with each other, in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties. If they do not reach such solution within a period of sixty (60) days, then, upon notice by either party to the other, any disputes, claims, questions, or differences shall be finally settled by arbitration in Denver, Colorado administered by the American Arbitration Association in accordance with the provisions of its rules and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Miscellaneous

If any portion of this Agreement is deemed unlawful, void or unenforceable by any arbitrator or court of competent jurisdiction, this Agreement as a whole shall not be deemed unlawful, void or unenforceable, but only that portion of this Agreement that is unlawful, void or unenforceable shall be stricken from this Agreement. You agree that if iTickmark does not exercise or enforce any legal right or remedy which is contained in the, this will not be taken to be a formal waiver of iTickmark’s rights and that those rights or remedies will still be available. All covenants, agreements, representations and warranties made in this Agreement shall survive your acceptance of this Agreement and the termination of this Agreement. This Agreement represents the entire understanding and agreement between you and iTickmark regarding the subject matter of the same, and supersedes all other previous agreements.
